Maksim joined Centil’s Tashkent office in late 2020, having his previous experience at giant local auto manufacturer as an in-house lawyer. His practice field includes M&A transactions in a wide range of industries, various cross-border deals, legal due diligence on local and foreign companies, and corporate law.

Maksim’s spheres of concentration are corporate projects, including corporate finance matters, advisory of foreign investors on their entry into the Uzbek market, resolution of corporate governance issues, investment regime matters and antitrust implications. Maksim also regularly consults on employment law.

EXPERIENCE

  • Advising on alliance structuring and M&A transaction of giant car manufacturer in Uzbekistan with total transaction amount of over $100 mln., including drafting and negotiating the relevant agreements and corporate documents
  • Advising the International financial institution regarding the development of finance (securitization) sector of Uzbekistan, namely the mortgage refinancing market, providing with thorough analysis of the current legislation and effective proposals on necessary amendments to it
  • Advising the International investment fund on corporate bonds purchase transaction for the overall amount of $21 mln.
  • Counseling a national thermal power plant on corporate restructuring and a large-scale staff transfer and structuring their employment schemes - trade unions, foreign labour migration rules, pension schemes, claims and damages, internal regulations, collective agreements, employment contracts, incentives
  • Counseling a state-owned metallurgical giant on corporate group restructuring and a mass transfer of their personnel, structuring their employment schemes - trade unions, foreign labour migration rules, pension schemes, claims and damages, internal regulations, employment contracts, incentives and benefits
  • Counseling a French solar energy giant and its Uzbek subsidiary on structuring the employment of their staff in Uzbekistan, including revision of local employment regulations, drafting employment agreements, advisory on foreign migration rules
  • Counseling on Technical assistance project - Unbundling of Civil Aviation sector of Uzbekistan, World Bank (2018-2020). Phase I. Conducting due diligence of the National Airways Company in terms of its corporate structure, corporate governance, ownership structure, etc. Based on due diligence results, prepared recommendations to the Uzbek Government on how and in what form the National Airways Company should be restructured. Advising the World Bank’s team on various legal issues as well as reviewed legal and regulatory framework and provided suggestions on necessary amendments to Uzbek legislation that might be needed for reforming the Civil Aviation sector
